Terms of Use
1. Preamble
The Terms and Conditions provided within this document governs the contract between the User and SSOCircle GmbH (hereinafter SSOCircle; company details can be found in the imprint). By using the web sites and services provided by SSOCircle ssocircle.com, ssocircle.de, idpee.com, saml2.com, ssocheck.com, myidentitygraph.com etc. and any sub domain of these domains), downloads and services, the user agrees to be bound by the following terms and conditions.
2. Subject Matter
SSOCircle provides software, content and services to the User including SSOCircle Public IDP, IDPee hosted IDP, SSOCheck API, SSOCheck certification, MyIdentityGraph and AzaaS (hereinafter: Services). Some of the content of the web site is provided without any registration, other service require the registration of an account which starts with a basic free registration. Additional features and services require the purchase of a paid subscription.
These Terms and conditions apply to all provided Services unless explicitly described as “free” or “paid” services.
3. Liability
SSOCircle provides its contents and services on an “as is” basis with no warranties. Expressly disclaim to the fullest extent permitted by law all express, implied and statutory warranties, including, without limitation, the warranties of merchantability, fitness for a particular purpose and the conformance to standards mentioned.
Although we make reasonable efforts to keep the SSOCircle web sites available, events like maintenance, security issues or capacity bottlenecks as well as events not under the control of SSOCircle may lead to temporary outages.
We disclaim any warranties regarding security, availability, reliability, timeliness, compatibility and performance of the services.
We disclaim any warranties for any information, best practices, coding examples and software obtained through this site.
We disclaim any responsibility for any harm resulting from downloading or accessing any information or material from this site. You understand and agree that you use all information and downloads at your own discretion and risk. And that you will be solely responsible for any damages on your computer systems or loss of data that results from the use of advises or software of this site.
Disclaimer: Although we make reasonable efforts to maintain the service, no degree of exhaustivety is implied by the tests or the certification seal. A security test only shows the presence of vulnerabilities but not their absence. We are trying to cover important security and standard conformity tests, but even through these tests some of the covered vulnerability issues might not be disclosed by the test process. Additionally other related or unrelated security issues might exist which are not checked by the services provided. Please keep in mind that failed tests using the SSOCheck API do not necessarily indicate an issue or bug in the software tested. Please scrutinize the results carefully as matching with standards is not always obvious and there might be good reasons to deviate from a specification.
The above mentioned limits shall not affect liability if SSOCircle breaches a basic/cardinal obligation under this agreement or in case of personal injury and property damage claims based on the German Product Liability Act.
Responsibility for the security of the services remains with its owners and SSOCircle shall not be liable for any loss or damage suffered by any persons caused by vulnerabilities, regardless of these vulnerabilities were discovered by SSOCircle or the status shown by the certification seal.
4. Changes to SSOCircle Services
We may modify our services from time to time, for any reason, and without notice, including the right to terminate the free services with or without notice, without liability to you, any other user or any third party. Individual accounts might be deactivated, if the user infringe the Obligations mentioned in 5. Accounts for third party services ( e.g. Google Apps ) are only provided as samples. These accounts may be deleted without notice.
5. Obligations of the User
Any use of the services and contents offered on the SSOCircle web sites beyond the scope of the product description requires the prior written consent of SSOCircle.
The User accounts are considered personal and the user is obliged to keep this password secret. Transferring account credentials for API access and/or reselling of the service in any form requires the written consent of SSOCircle.
On registration the user is required to provide a personal email address which is only used for communication related to the services mentioned here. The use of disposable email addresses and the registration of accounts to the same email address or organization might be rejected.
The user is prohibited to perform any actions which may impair the operability of the SSOCircle infrastructure, particularly actions which may overload said infrastructure.
API access is subject to API request limits as described in the product details.
6. Paid Subscriptions and Services
Monthly subscriptions will be billed automatically every month.
1-year subscriptions are not automatically renewed after the 12 months. In that case the user needs to purchase a new subscription which leads to a prolongation of the subscription period otherwise the paid subscription will expire and the user will be downgraded to a “free” user. In case of hosted offerings the instance will be deleted.
The user agrees to receive invoices in digital form. Invoices will be provided as PDF files at our Website under “My Subscriptions“. In case you need another form of invoice delivery, please contact us via the contact form provided at our Website.
7. Right of cancellation for consumers:
According to the German Civil Code (§13) the following provisions apply to users who use the SSOCircle Services for activities not related to commercial purposes.
Right of cancellation:
The user may cancel paid services in writing (letter, fax or email) within two weeks without stating the reason. The two week period begins with the service activation by SSOCircle.
Premature lapse of the right of cancellation:
In accordance with §312d Par. 3 BGB (German Civil Code), the User’s right of cancellation lapses before the end of the right of cancellation period cited in the previous section, if SSOCircle has begun performing the services for which the user is registered with the express consent of the user, or if the user has initiated the SSOCircle services for which the user has registered.
8. Termination of Registration / Subscription
The user may terminate SSOCircle free membership at any time without cause. The user may deliver notice of termination by sending an email to our contact address listed on the website. The termination notice shall include the user name and the email address registered in the profile. The email address will be used to ask for a deletion confirmation in order to prevent abuse.
The user may terminate the paid subscription/membership without cause to the end of the minimum subscription period chosen in the purchasing process or to the end of any renewal process, by given written notice of 10 days to the end of the period. The provision of this section shall not affect the right of both parties to terminate the agreement for good cause.
A good cause is defined as an event that is unacceptable for SSOCircle or the user to continue the service to the end of the termination period, taking into account all circumstances of the individual case and weighting the interests of both parties.
9. Final Provisions
We reserve the right to modify these terms from time to time without notice. Please review these terms from time to time.
If any provision of these terms and conditions is, for any reason, invalid and/or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law. The parties agree to replace an invalid and/or unenforceable provision with a valid and/or enforceable provision which most closely approximates the intent and economic effect of the invalid and/or unenforceable provision. This also applies to contractual loopholes.
The terms and conditions and the contractual relationship shall be governed by German Law.
Place of jurisdiction, insofar as legally admissible, shall be the main place of business of SSOCircle.
